1. Acceptance of Terms

By accessing or using CellFi (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

CellFi is a non-custodial cryptocurrency wallet application that provides access to decentralized finance (DeFi) protocols and fiat on-ramp services. These Terms govern your use of our website, applications, and all related services.

2. Eligibility

To use CellFi, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be a resident of a jurisdiction where cryptocurrency services are prohibited
  • Not be subject to economic sanctions or listed on any prohibited party list

3. Description of Services

CellFi provides the following services:

3.1 Non-Custodial Wallet

CellFi enables you to connect and manage cryptocurrency wallets via Dynamic.xyz integration. We do not have access to, custody of, or control over your digital assets or private keys.

3.2 DeFi Access

CellFi provides a user-friendly interface to interact with third-party DeFi protocols, including but not limited to Nectra and Zentra. These protocols operate independently and are not controlled by CellFi.

3.3 Fiat On-Ramp

Through our integration with MoonPay, you may purchase cryptocurrency using fiat currency. MoonPay's terms of service and identity verification requirements apply to all on-ramp transactions.

3.4 Future Services

We are developing additional features, including SMS-based wallet access. These features will be subject to additional terms when launched.

4. User Responsibilities

You are solely responsible for:

  • Securing your wallet: Safeguarding your private keys, seed phrases, and login credentials. We cannot recover lost credentials.
  • Transaction accuracy: Verifying all transaction details before confirming. Blockchain transactions are irreversible.
  • Understanding risks: Educating yourself about cryptocurrency and DeFi risks before using these services.
  • Tax compliance: Reporting and paying any applicable taxes on your cryptocurrency activities.
  • Legal compliance: Ensuring your use of CellFi complies with all applicable laws in your jurisdiction.

5. Prohibited Activities

You agree not to use CellFi for:

  • Money laundering, terrorist financing, or other illegal activities
  • Circumventing economic sanctions or export controls
  • Fraud, deception, or manipulation
  • Interfering with or disrupting the Service or servers
  • Attempting to gain unauthorized access to any part of the Service
  • Using automated systems to scrape or extract data from the Service
  • Any activity that violates applicable laws

6. Risks and Disclaimers

6.1 Cryptocurrency Risks

Cryptocurrency markets are highly volatile. The value of your digital assets may fluctuate significantly. You may lose some or all of your investment.

6.2 DeFi Risks

DeFi protocols involve additional risks including smart contract vulnerabilities, impermanent loss, liquidation risks, and protocol failures. CellFi does not guarantee the security or performance of third-party protocols.

6.3 Technology Risks

Blockchain technology is evolving. Network congestion, forks, protocol changes, and technical failures may affect your transactions and assets.

6.4 No Financial Advice

Nothing in CellFi constitutes financial, investment, legal, or tax advice. Always consult qualified professionals before making financial decisions.

7. Third-Party Services

CellFi integrates with third-party services including but not limited to:

  • Dynamic.xyz for wallet authentication
  • MoonPay for fiat on-ramp services
  • Citrea Network for blockchain infrastructure
  • Nectra and Zentra for DeFi functionality

Your use of these services is subject to their respective terms and conditions. CellFi is not responsible for the availability, accuracy, or reliability of third-party services.

8. Intellectual Property

The CellFi name, logo, and all related content, features, and functionality are owned by CellFi and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELLFI AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless CellFi and its affiliates from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated through the Service or via email. Continued use of CellFi after changes constitutes acceptance of the modified Terms.

12. Termination

We may suspend or terminate your access to CellFi at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of CellFi shall be resolved through binding arbitration, except where prohibited by law.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
